The Paralegal is responsible for performing a broad variety of work during all phases of various transactions within their specific practice area. This role works under the supervision and direction of an experienced attorney.
Responsibilities/Duties
Assist attorneys with preparation of legal documents, due diligence review and related tasks
Complete forms required for the formation/dissolution/amendment and qualification of corporations, LLC’s and partnerships
Organize and maintain electronic files, and paper files where necessary
Organize and maintain due diligence documents
Perform due diligence searches including UCC searches and status of entity searches
Utilize and manage electronic databases
Proofread, organize and track documents; prepare closing sets following completion of a transaction of necessary documents; organize and distribute post-closing documents
Assist with document/information gathering, exhibit preparation, logistics and coordination of items received
Prepare and circulate signature pages to oil and gas mortgage documents
Assist firm’s landman in preparation of lease and well exhibits for mortgages/deeds of trust
Assist firm’s landman in reviewing oil and gas reserve data and mortgage and title information
After completion of a transaction:
Assemble, organize and record documentation in records of counties and parishes
Assist in the filing of UCC Financing Statements in various states and if necessary, counties
Prepare and update Recording Schedules for transactions and create and distribute CD’s of all recorded documents for transactions, as needed
Stay current on mortgage and UCC filing requirements in various states
Perform other duties as assigned
Required Skills
Experience recording documents in county records
Ability to effectively present information verbally and in writing
Ability to proofread for contextual, grammatical and spelling errors
Advanced knowledge of MS Office Suite, including Excel
Proficiency with Internet research and legal research databases
Can organize, prioritize, plan and multi-task work activities in a high pressure environment with attention to details and deadlines
Ability to work independently or in a team with limited supervision
Excellent organizational and communication skills
Excellent analytical and critical thinking skills
Flexibility to work late as needed
Ability to commute to and work from downtown office a minimum of 4 days per week
Preferred Skills
Knowledge of iManage strongly preferred
Notary Public for the State of Texas
Knowledge of oil and gas terminology, legal principles and practices acquired through formal training or its equivalent a plus
Required Experience
3-5 years of paralegal experience in a Corporate/Transactional practice, including Energy
Required Education
Bachelor’s degree required
